Terms of Service

These Terms of Service (the "Terms") govern your use of parakeetrisk.com and our related pages (the "Site") and, where no separate signed agreement applies, the Rosella platform (the "Platform"). They are a legal agreement between you and Parakeet Financial Inc, a Delaware corporation doing business as Parakeet Risk ("Parakeet Risk", "we", "us", or "our").

By using the Site or the Platform you accept these Terms. If you use them on behalf of a company, you represent that you have authority to bind that company, and "you" means that company. If you do not agree, do not use the Site or the Platform.

If your organization has a signed order form, master services agreement, or pilot agreement with us, that agreement controls for the Platform wherever it conflicts with these Terms.

What Parakeet Risk does

Parakeet Risk provides risk engineering software for industrial operations. The Platform helps organizations quantify exposure in dollars, track facility risk, and close out carrier and internal recommendations. The Site provides information about the product, research, and ways to reach us.

Accounts

Platform access is provisioned to customer organizations. You are responsible for the activity under your accounts, for keeping credentials confidential, and for telling us promptly if you suspect unauthorized use. You must provide accurate information when you request a demo, download content, or create an account.

Acceptable use

You agree not to:

• Break any law or infringe anyone's rights
• Probe, scan, or test the vulnerability of the Site or the Platform, or breach security measures, without our written permission
• Interfere with the service, including by introducing malware or excessive load
• Scrape the Site or the Platform at scale, or use them to build a competing product
• Upload data you have no right to share, or data that is unlawful
• Misrepresent your identity or affiliation

Your data

You retain all rights to the data you submit to the Platform. You grant us the rights we need to host, process, and display that data to provide the service to you. We may create aggregated or de-identified data that cannot reasonably be linked back to you or your organization, and use it to improve the product; we own that de-identified data.

Our intellectual property

The Site, the Platform, and all related software, design, text, graphics, and branding are owned by Parakeet Financial Inc and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Site and, while your access lasts, the Platform, for their intended purposes. No other rights are granted.

Feedback

If you send us ideas or feedback about the product, we may use them without restriction or obligation to you.

Third-party services

The Site and the Platform link to or integrate with third-party services, such as analytics providers, social networks, and systems you choose to connect. We do not control and are not responsible for third-party services, their content, or their privacy practices.

Not professional advice

Content on the Site and outputs from the Platform, including risk estimates, dollar figures, and recommendations, are decision-support information, not insurance, legal, engineering, or safety advice. Parakeet Risk is not an insurance carrier, broker, or adjuster. Coverage, premium, and engineering decisions remain yours and your advisors'.

Disclaimers

The Site and the Platform are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that every risk estimate will match realized outcomes.

Limitation of liability

To the fullest extent permitted by law: (a) neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity; and (b) our total liability arising out of or relating to these Terms will not exceed the greater of one hundred US dollars ($100) or the amounts you paid us for the Platform in the twelve months before the claim. These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

Indemnification

You will defend and indemnify Parakeet Financial Inc and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or the Platform, your violation of these Terms, or data you submit without the right to do so.

Termination

You may stop using the Site at any time. We may suspend or end access to the Site or the Platform for conduct that violates these Terms or creates risk for us or other users. Sections that by their nature should survive termination do survive, including ownership, disclaimers, limits of liability, and dispute terms.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of these Terms, and both parties consent to venue there.

Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and update the date above. If a change is material, we will provide reasonable additional notice. Continued use after changes take effect means you accept the new Terms.

General

• Entire agreement. These Terms, plus any signed agreement referenced above, are the entire agreement between you and us about the Site and the Platform.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, or sale.
• Severability and waiver. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
• Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
